Acceptance of Terms

By accessing or using the services provided by SOMA OS PTY LTD (“we”, “us”, “our”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Platform.

The Service

SOMA OS PTY LTD supplies a white-label marketing automation platform (“Platform”) that enables users to build websites, funnels, automations, and related digital assets.

Eligibility & Accounts

Users must be at least 18 years old and capable of forming a binding contract. You are responsible for safeguarding your login credentials and all activity under your account.

Fees & Payments

Subscription fees are billed in AUD, inclusive of GST where applicable, via the payment method you authorise. Late or failed payments may suspend access. Prices may change with 30 days’ email notice.

Intellectual Property

All content we provide (software, templates, logos) remains our property or that of our licensors. You may not reverse-engineer, resell, or create derivative works without written consent.

Customer Content

You retain ownership of the content you upload. You grant us a worldwide, royalty-free licence to host and display that content solely to operate the Platform.

Third-Party Integrations

The Platform integrates with third-party services (e.g., Zapier, Google). Use of those services is governed by their own terms. We are not liable for third-party outages or data loss.

Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential loss.

Indemnity

You agree to indemnify and hold SOMA OS PTY LTD, its directors, employees, and agents harmless from any claim or demand arising out of your misuse of the Platform or breach of these Terms.

Termination

Either party may terminate with 30 days’ written notice. We may suspend or terminate immediately for material breach. Clauses relating to intellectual property, liability, and indemnity survive termination.

Governing Law

These Terms are governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.

Amendments

We may update these Terms from time to time. Continued use after the “Last updated” date constitutes acceptance of the revised Terms.
