Terms of Service and Agreements

The following agreement between Soma OS (Who will be referred to as Agency name) and the business who pays for our service, authorised by the person who made the purchase is effective immediately agreeing to the signing of this Services Agreement.

This Statement of Work includes the following services and deliverables:

Services & Deliverables

The Calibrate Plan includes all features, services, and deliverables published on the Soma OS website at the time of sign-up, including the selected Monthly or Yearly subscription plan.

Item Price

Soma OS - Plan Subscription to "Calibrate - Monthly Plan" = Total Monthly Price: $299

Soma OS - Plan Subscription to "Calibrate - Yearly Plan" = Total Yearly Price: $3333

* GST (10%) tax is applied to the purchase price.

*This plan price is EXCLUSIVE of any discounts/coupons that might be available. Any discount or coupon this is applied at the checkout. This is to clearly state what your plan is.

Payment Schedule for Calibrate - Monthly Plan:

Every 30 days from the start date of your subscription to Soma OS.

Start date = the day when both initial payment has been made & service agreement has been signed.

Payment Schedule for Calibrate - Yearly Plan:

Every 1 calendar year from the start date of your subscription to Soma OS.

*EXAMPLE ONLY: If a purchase was made on 25th of August 2025, your subscription renewal date will be the 24th of August 2026.

Start date = the day when both initial payment has been made & service agreement has been signed.

Terms of Service

Soma OS is committed to providing all participants in the agreement with a positive experience.
Thus, Soma OS may, at its sole discretion, limit, suspend, or terminate this agreement if the Client becomes disruptive and/or demonstrates inappropriate or abusive behaviour towards Soma OS and/or its representatives, fails to follow program guidelines, or impairs Soma OS’s ability to perform services.

Usage Based Charges

The Client acknowledges that certain platform services incur usage-based charges in addition to the base subscription. These charges are billed through the Client’s sub-account wallet.

Monthly Wallet Credit

Each Calibrate Plan includes a monthly complimentary wallet credit of USD $11. (based on USD $0.001012 per email).

This allowance is provided to cover approximately 10,000 outbound emails per calendar month at the prevailing client billing rate.

The wallet credit is not restricted to email usage only and may also be applied against other usage-based charges (e.g. SMS, AI tools, or other platform services). If the credit is used for non-email services, the Client may have fewer than 10,000 free emails available that month.

Emails

Once the wallet credit is exhausted, additional emails are charged at the client billing rate and may trigger automatic wallet top-ups in increments of USD $10.

SMS Messages

Charged at the prevailing carrier rate (as published in the platform) and deducted from the Client’s wallet balance.

AI Tools (e.g. content generation, chat, call transcription)

Charged per use at platform-published rates and deducted from the Client’s wallet balance.

Other Services

Any additional platform functions that incur pass-through charges (such as call minutes, number rentals, or verification services) are billed at cost and deducted from the wallet.

Responsibility

The Client is solely responsible for monitoring wallet balances and usage. Soma OS will not be held liable for unexpected charges resulting from Client use of email, SMS, AI, or other metered services.

Lifetime 50% Discount (Early Bird Launch Offer)

Clients who signed up under the Early Bird offer receive a 50% discount for life, applied strictly to the Calibrate SaaS Plan at the base plan price of AUD $299 per month (before GST).

This discount does not apply to:

Any future new plans or plan types introduced by Soma OS.

Any changes in pricing made to the Calibrate Plan after the Client’s sign-up date.

The discount is locked to the original plan type and price at sign-up and does not extend to usage-based charges, wallet top-ups, or additional services.

Liability

Soma OS is not liable if the Client’s web-based platforms are hacked or suspended due to reasons caused by the client.

In no event shall either party be liable to the other party, or be deemed to have breached this agreement, for any failure or delay in performing its obligations under this agreement (except for any obligations to make payments for services already rendered), if and to the extent such failure or delay is caused by any circumstances beyond either party’s reasonable control, including but not limited to acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.

Cancellation Policy

If for any reason the Client chooses not to renew their 30 day subscription payment term of this agreement (payment schedule listed listed above in section labelled "Payment Schedule"), they must submit written email notification of their intent not to proceed to [email protected] no later than 1 business days before the payment schedule.

In addition, the Client agrees to complete our off-boarding form and participate in a 15-minute exit interview with a Soma OS representative to assist us in improving our service. Failure to comply with our cancellation policy may result in our inability to deliver a refund if payment goes through before cancelling.

Privacy & Confidentiality

No part of the Client's confidential and proprietary information, ideas, business plans, and trade secrets (collectively "Confidential Information") shall be shared outside of Soma OS without the Client’s express knowledge and approval. Soma OS has no right and license to use any of the Client’s data, assets, or materials outside the term of the agreement, and only to the extent necessary to provide the services to the Client.

The reproduction, distribution, and sale of Soma OS’s strategies, assets, and materials by anyone but Agency name is strictly prohibited. The Client shall not infringe any of Soma OS’s copyright, patent, trademark, trade secrets, or other intellectual property rights. All provided materials, assets, strategies, and Confidential Information shared by Soma OS and/or its representatives belong solely and exclusively to Soma OS, and may only be used by the Client as authorized by Soma OS.

Video and phone calls will be recorded for quality and training purposes. The Client may request access and view recorded calls at any time during the term of service. Soma OS reserves the right to request client excerpts of recorded calls and proof of campaign results in our internal marketing campaigns for testimonial/training purposes.
By using messaging integrations (such as SMS, email, Facebook Messenger, Instagram DMs, or other connected channels) you acknowledge that communications sent and received through the platform are stored within your Sub-Account. These communications may be visible to authorized users of your Sub-Account, including Client-appointed administrators, and to Soma OS staff where necessary to provide technical support, account management, or compliance services. Soma OS does not monitor or use the content of your client communications for its own purposes, nor do we contact your customers directly. Access is limited strictly to the purposes of support, troubleshooting, training, or legal compliance, and such data is never sold or disclosed to third parties for marketing purposes.

Terms of Sale

You, the Client, hereby ratify your understanding that all program sales are final, non-refundable, and waive any right to file a chargeback on your authorized payment with your credit card processor.

Upon severance of the relationship between Agency name and the Client, each party shall return to the other party all documents and materials tangible and intangible containing, reflecting, incorporating, or based upon the other party’s Confidential Information, and certify their compliance with the requirements of this clause in writing to the other party. All websites and other intellectual property created by the Soma OS team will be deactivated from the Client’s account under circumstances of non-payment as per the terms of this agreement.

This agreement constitutes the complete and exclusive agreement between Soma OS and you, the Client. It supersedes all prior written and/or oral statements, conditions, obligations, representations, or warranties.

This agreement will be governed by the laws of Queensland Australia, notwithstanding any principles or conflicts of law which may otherwise require the application of the law of another jurisdiction. You consent to the exercise of personal jurisdiction by any such court with respect to any such proceeding.

Payment Authorization Form

By completing the subscription payment, I authorize Agency name to charge my credit card for the agreed-upon purchase and payment schedule. I understand that information will be saved to file for future transactions on my account. I certify that I am an authorized user of this credit card and that I will not dispute the payment with my credit provider so long as the transaction corresponds to the terms indicated in this form.

I understand that this credit card authorization will remain in effect for the full term of the contract and I agree to notify Agency name in writing of any changes to my account information or the authorized payment form at least seven (7) days prior to the next billing date.

Terms of Payment

The persons making the subscription payment, represents and warrant that they are authorized to execute payment authorization for the purpose of implementing the agreed-upon payment plan. They understand that if any payments within the agreed-upon payment schedule above should fail to process, the payment schedule and/or payment amounts would be adjusted to accommodate the recoupment of such failure.
